利用規約と 条件

本利用規約はAxtri Software Servicesが提供するウェブサイト・サービスへのアクセスおよび利用を規定します。サービスは https://axtrisoftware.com. でご利用いただけます。アクセスまたは利用することにより、本規約に同意したものとみなされます。

1.

規約への同意

By using our website or engaging Axtri for any service — including web development, mobile app development, UI/UX design, branding, digital marketing, SEO, cloud hosting, or software maintenance — you confirm that you have read, understood, and agree to these Terms. These Terms form a legally binding agreement between you (the "Client") and Axtri Software Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2.

Axtri Software Services provides a comprehensive suite of digital and technology services, including but not limited to:

  • Web design and development (frontend, backend, full-stack)
  • Mobile application development (iOS, Android, cross-platform)
  • Custom software development and enterprise solutions
  • UI/UX design, branding, and illustration
  • Search engine optimisation (SEO) and digital marketing
  • Cloud hosting, domain management, and infrastructure
  • Software maintenance, updates, and ongoing support
  • Tech talent sourcing and staffing solutions

The specific scope, deliverables, timeline, and pricing of each engagement are defined in a separate project agreement, proposal, or statement of work ("SOW") agreed upon between Axtri and the Client prior to commencement of work.

3.

To ensure a successful project delivery, the Client agrees to:

  • Provide accurate, complete, and timely information, materials, and access required for project completion
  • Designate an authorised point of contact to communicate decisions and approvals
  • Review and provide feedback on deliverables within the agreed timelines
  • Ensure that any content, images, trademarks, or third-party materials provided to Axtri are legally owned or licensed by the Client
  • Make payments as per the agreed schedule

Delays caused by the Client's failure to meet these responsibilities may result in project timeline extensions and additional charges, which will be communicated and agreed upon in advance.

4.

知的財産権

Upon receipt of full payment for a project, Axtri assigns to the Client all rights, title, and interest in the final deliverables specifically created for that project ("Work Product"), including any copyrights, unless otherwise agreed in writing.

Axtri retains ownership of all pre-existing tools, frameworks, libraries, methodologies, templates, and know-how developed independently of the Client engagement ("Background IP"). Any Background IP used in the Work Product is licensed to the Client on a non-exclusive, royalty-free basis for the purpose of using the Work Product.

Axtri reserves the right to display completed work in its portfolio and marketing materials, unless the Client requests confidentiality in writing prior to project commencement.

5.

支払い・料金

Payment terms, milestone schedules, and pricing are defined in the project proposal or SOW. Standard payment terms are as follows unless otherwise agreed:

  • A non-refundable advance (typically 30–50% of the total project value) is required before work commences
  • Subsequent milestone payments are due as specified in the SOW
  • Final payment is due before delivery of final source files or deployment to production

Axtri reserves the right to pause or suspend work on any project where payments are overdue by more than 14 days. Any work outside the agreed scope will be quoted separately and requires written approval before execution.

6.

機密保持

Both parties agree to keep confidential all non-public information disclosed by either party in connection with the project ("Confidential Information"). This obligation applies during and after the project engagement.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; or (c) is required to be disclosed by law or court order.

7.

責任の制限

To the maximum extent permitted by applicable law, Axtri's total liability to the Client for any claim arising out of or related to the services shall not exceed the total fees paid by the Client to Axtri for the specific project giving rise to the claim in the preceding three (3) months.

Axtri shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or reputational harm, even if advised of the possibility of such damages.

Axtri does not warrant that services will be uninterrupted or error-free. We will make commercially reasonable efforts to resolve issues promptly.

8.

契約の終了

Either party may terminate a project engagement with 14 days written notice. In the event of termination:

  • The Client shall pay for all work completed and expenses incurred up to the termination date
  • Axtri shall deliver all completed work product to the Client upon receipt of outstanding payment
  • Any advance payments are non-refundable unless Axtri is in material breach of the agreed terms

Axtri reserves the right to immediately terminate an engagement if the Client engages in abusive, fraudulent, or unlawful conduct.

9.

準拠法・紛争解決

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in English, and the award shall be final and binding on both parties.

10.

規約の変更

Axtri reserves the right to update or modify these Terms at any time. The revised Terms will be posted on this page with an updated effective date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

For ongoing project engagements, the Terms in effect at the time of project commencement shall apply unless both parties agree in writing to updated terms.
